TERMS OF SERVICE

Welcome to Rent Sentry, operated by Sandem LLC ("Company," "we," "us," or "our"). By accessing or using our platform at sandemcs.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. SERVICES

Rent Sentry is a software-as-a-service (SaaS) compliance platform designed for Florida property managers, landlords, and real estate professionals. The Service provides automated compliance monitoring, regulatory tracking, document management, and notification tools to help users maintain compliance with applicable Florida landlord-tenant laws, housing regulations, and property management requirements.

The Service is a compliance assistance tool only. It does not constitute legal advice, and use of the Service does not create an attorney-client relationship.

2. ELIGIBILITY

You must be at least 18 years of age and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. ACCOUNT REGISTRATION

To access the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

4. SUBSCRIPTION AND PAYMENT

a) Pricing. Access to Rent Sentry and other consulting services are provided on a subscription basis at $1,000.00 per month per account ("Subscription Fee").

b) Billing Cycle. Subscriptions are billed monthly in advance on the first day of each billing cycle.

c) Contract Term. Standard subscriptions are offered on a twelve (12) month term ("Contract Term"). Early termination is subject to the provisions in Section 5.

d) Payment Method. All payments are processed through Stripe, Inc. By subscribing, you authorize us to charge your designated payment method for all applicable fees.

e) Late Payments. Invoices not paid within fifteen (15) days of the due date will incur a late fee of 1.5% per month on the outstanding balance, or the maximum rate permitted by Florida law, whichever is less.

f) Taxes. Subscription Fees are exclusive of all applicable taxes. You are responsible for any sales tax, use tax, or other taxes imposed by any jurisdiction.

5. CANCELLATION AND REFUNDS

a) Cancellation. You may cancel your subscription by providing written notice at least thirty (30) days prior to the end of your current Contract Term. Cancellation requests should be sent to support@sandemcs.com.

b) Early Termination. If you cancel before the end of your Contract Term, you remain responsible for all Subscription Fees through the end of the then-current Contract Term.

c) Refunds. Subscription Fees are non-refundable except where required by applicable law. No pro-rated refunds will be issued for partial months.

d) Suspension. We reserve the right to suspend your access to the Service if your account is more than thirty (30) days past due.

6. ACCEPTABLE USE

You agree not to:

  • Use the Service for any unlawful purpose

  • Attempt to reverse-engineer, decompile, or disassemble the Service

  • Share your account credentials with unauthorized third parties

  • Use the Service to store or transmit malicious code

  • Interfere with or disrupt the integrity or performance of the Service

  • Attempt to gain unauthorized access to the Service or its related systems

  • Resell, sublicense, or redistribute the Service without our prior written consent

7. INTELLECTUAL PROPERTY

All content, features, functionality, software, and technology associated with the Service are owned by Sandem LLC and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service during your active subscription period.

8. DATA AND PRIVACY

Your use of the Service is also governed by our Privacy Policy, available at sandemcs.com/privacy-policy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

9. DISCLAIMERS

a) THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

b) WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

c) THE SERVICE PROVIDES COMPLIANCE ASSISTANCE TOOLS ONLY. WE DO NOT GUARANTEE COMPLIANCE WITH ANY LAW OR REGULATION. YOU ARE SOLELY RESPONSIBLE FOR ENSURING YOUR COMPLIANCE WITH ALL APPLICABLE LAWS.

d) THE SERVICE DOES NOT CONSTITUTE LEGAL ADVICE. YOU SHOULD CONSULT WITH A QUALIFIED ATTORNEY FOR LEGAL GUIDANCE SPECIFIC TO YOUR SITUATION.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SANDEMCS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Sandem LLC, its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

12. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Florida. You consent to the personal jurisdiction of such courts.

13. MODIFICATIONS

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the modified Terms.

14. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and Sandem LLC regarding the Service and supersede all prior agreements and understandings.
